The Agreement and any modification thereto shall be governed and construed under the laws of France. The Client agrees to the exclusive jurisdiction of France.

The Client agrees to install proper safeguards to protect the data from malicious use. Furthermore, the Client recognizes that data may contain personal information and that data must be used in accordance with GDPR and other applicable local and regional privacy laws and protections.

Confidential Information

The Client may have access to or learn certain information belonging to disclosing parties that are proprietary and confidential ("Confidential Information"). Confidential Information shall mean any secret or proprietary information relating directly to the disclosing party's business and that of its affiliated companies and subsidiaries, including, but not limited to, a fund's performance, strategies, and other business affairs.

The Client agrees to keep strictly confidential all Confidential Information and will not use, sell, market, publicize, make announcements, or disclose any Confidential Information to any third party. The Client further agrees not to make any copies of the Confidential Information without obtaining the disclosing party's prior consent.
